TERMS OF SERVICE
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Scan Bot AI ("Company," "we," "us," or "our"), governing your access to and use of the website located at scanbotai.com (the "Website") and any related services, features, content, applications, or products offered by Scan Bot AI (collectively, the "Service").
By accessing or using the Service, you signify your agreement to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms 1.1. By accessing and using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms. 1.2. You affirm that you are at least 18 years of age and are otherwise capable of forming a binding contract with Scan Bot AI.
2. The Service 2.1. Scan Bot AI provides an artificial intelligence-powered scanning and document processing service. Specific features and functionalities of the Service may be updated or modified by Scan Bot AI at its sole discretion.
3. Acceptable Use Policy 3.1. Users shall utilize the Service exclusively for lawful purposes and in a manner that does not infringe upon the rights of, or restrict or inhibit the use and enjoyment of the Service by, any third party. 3.2. Prohibited activities include, but are not limited to: a. Uploading, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or hateful. b. Engaging in any activity that could damage, disable, overburden, or impair any Scan Bot AI server or the network(s) connected to any Scan Bot AI server. c. Attempting to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to any Scan Bot AI server through hacking, password mining, or any other means. d. Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Service or any part thereof. e. Using the Service for commercial purposes without explicit prior written consent from Scan Bot AI. f. Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity. 3.3. Scan Bot AI reserves the right to suspend or terminate access to the Service for any User found to be in violation of this Acceptable Use Policy.
4. Intellectual Property Rights 4.1. The Service, including all software, text, graphics, images, audio, video, and other material contained therein, is the exclusive property of Scan Bot AI or its licensors and is protected by copyright, trademark, and other intellectual property laws. 4.2. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. 4.3. Users retain ownership of any data, content, or documents they submit or upload to the Service ("User Content"). By submitting User Content, you grant Scan Bot AI a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content solely for the purpose of operating, improving, and providing the Service to you.
5. Disclaimers and Limitation of Liability 5.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. 5.2. Scan Bot AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. 5.3. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Scan Bot AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE. 5.4. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF Scan Bot AI FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO Scan Bot AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6. Indemnification 6.1. You agree to indemnify, defend, and hold harmless Scan Bot AI, its affiliates, officers, directors, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Service.
7. Termination 7.1. Scan Bot AI reserves the right to terminate or suspend your access to the Service, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. 7.2. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual property ownership, warranty disclaimers, indemnity, and limitations of liability.
8. Governing Law 8.1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Scan Bot AI is incorporated, without regard to its conflict of law principles.
9. Changes to Terms 9.1. Scan Bot AI reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of such changes by posting the updated Terms on the Website and updating the "Last Updated" date. 9.2. Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes.
